Terms of Service

These Terms govern your use of Hotelierly (the “Service”). If you’re using Hotelierly on behalf of a hotel, company, or other organization, you represent you have authority to bind that organization.

1. Definitions

“Hotelierly”, “we”, “us” means the operator of the Service. “Customer” means the organization using the Service. “User” means an individual authorized by Customer to use the Service. “Customer Content” means reports, files, messages, and other data Customer uploads or provides. “AI Output” means summaries, recommendations, or other content generated by the Service.

2. Access and Accounts

  • You must be at least 18 years old to use the Service.
  • Customer is responsible for User access, keeping credentials secure, and activities under its accounts.
  • You agree not to share accounts, bypass security, or attempt to access data that is not yours.

3. Beta Status and No Billing (For Now)

The Service may be in beta or pre‑commercial release. Features may change, be removed, or be unavailable. We do not currently charge for access. If we introduce fees later, we will provide notice and updated billing terms will apply going forward.

4. Permitted Use and Restrictions

Subject to these Terms, we grant Customer a limited, non‑exclusive, non‑transferable right for its Users to access and use the Service for internal business purposes.

You must not:

  • Upload or process data you do not have the legal right to use.
  • Upload sensitive guest PII unnecessarily (e.g., passport numbers, credit card numbers). If such data exists in your source files, you are responsible for ensuring you have a lawful basis to process it.
  • Reverse engineer, decompile, scrape, or attempt to extract the Service’s source code or models.
  • Interfere with or disrupt the Service, including rate‑limit evasion or automated abuse.
  • Use the Service to build or train competing products.

5. Customer Content, Ownership, and License

  • Customer retains all rights in Customer Content.
  • Customer grants Hotelierly a limited license to host, process, analyze, and display Customer Content solely to provide the Service to Customer.
  • Customer is responsible for the accuracy, legality, and quality of Customer Content and for obtaining any required notices/consents.

6. AI Features and Human Review

  • AI Output may be incomplete, wrong, or out of date.
  • Customer remains responsible for decisions made based on AI Output and should apply human review.
  • Where available, we provide sources and trust indicators; if data is missing, we may say “not available”.

7. Privacy, Security, and Auditability

  • Our handling of personal data is described in our Privacy Policy.
  • We may store operational logs and audit trails (including AI interaction audits) to maintain security, reliability, and compliance features.
  • Customer can request export or deletion through available product features where supported.

8. Third‑Party Services

The Service may rely on third‑party infrastructure and vendors (e.g., storage, email delivery, AI providers). We are not responsible for third‑party services outside our reasonable control, but we select providers intended to support business/enterprise use cases.

9. Intellectual Property and Feedback

  • The Service, including its software, designs, and trademarks, is owned by Hotelierly.
  • If you provide feedback, you grant Hotelierly the right to use it without restriction or compensation.

10. Suspension and Termination

We may suspend or terminate access if we reasonably believe there is abuse, a security risk, legal violation, or unauthorized access. Customer may stop using the Service at any time.

11. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Hotelierly disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

We do not warrant that the Service will be uninterrupted or error‑free, or that AI Output will be accurate.

12. Limitation of Liability

To the maximum extent permitted by law, Hotelierly will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

Hotelierly’s total liability for any claim arising out of or relating to the Service will not exceed the fees paid (if any) by Customer to Hotelierly for the Service in the 12 months before the event giving rise to the claim.

13. Indemnification

Customer will indemnify and hold harmless Hotelierly from claims arising out of Customer Content, misuse of the Service, or violation of these Terms by Customer or its Users.

14. Governing Law

These Terms are governed by the laws of Delaware, USA, excluding conflict of laws principles. Venue is in the state or federal courts located in Delaware, unless required otherwise by applicable law.

15. Changes

We may update these Terms from time to time. If changes are material, we will provide reasonable notice. Continued use of the Service after the effective date means you accept the updated Terms.
